Terms of Service
These Terms of Service ("Terms") govern your access to and use of Davick Talent Hub at onboarding.clientflux.ai (the "Platform"), operated by Davick Int'l Trade, LLC ("Davick," "we," or "us"). The Platform supports freelancer recruitment, independent contractor onboarding, legal document acceptance, and billable-time documentation. By accessing the Platform you agree to these Terms. If you do not agree, do not use the Platform or submit an application.
1.Who we are
- Platform operator: Davick Int'l Trade, LLC, a United States limited liability company.
- Platform name: Davick Talent Hub — recruitment & independent contractor onboarding.
- Technology: Powered by ClientFlux AI, which provides technology branding and platform infrastructure. ClientFlux AI is a Davick business division, not the parent company.
- Business divisions served: ClientFlux AI, Davick Travel, Davick Trade, Davick Corporate / Shared Services, and other current and future Davick projects.
2.Eligibility and accepted use
- You must be at least 18 years of age and legally able to enter contracts.
- You may use the Platform only for lawful purposes related to applying for freelance opportunities, completing onboarding, or administering the Platform as an authorized administrator.
- You must provide accurate, current information in any application or onboarding record.
3.The recruitment application is not a job offer
- Submitting an application through the /apply page expresses interest only. It does not guarantee work, a project, a contract, income, or employment.
- Applications are reviewed by authorized administrators. Selection decisions rest solely with Davick and are not automatic.
- AI-assisted summaries may be used for administrative convenience, but no automated system rejects, ranks, or selects candidates based on protected characteristics or unsupported inferences.
4.Independent contractor relationship
- The Platform is intended primarily for independent contractors and freelancers, not employees. No employee onboarding module is built at this time.
- The terms "independent contractor," "freelancer," and "service provider" describe the intended working relationship. They do not by themselves determine legal classification under U.S., Philippine, or other law.
- Actual classification depends on the real working arrangement — control, economic independence, exclusivity, and applicable jurisdiction — assessed by Davick through a classification review.
- Contractors control when, where, and how services are performed, subject to agreed deliverables, deadlines, confidentiality, security, and client requirements. No fixed daily attendance or mandatory shift is imposed by default.
- Non-exclusivity is the default: contractors may work for other clients, except for appropriately limited conflicts of interest and confidentiality restrictions.
5.Onboarding agreements and electronic acceptance
- Approved contractors complete onboarding by reviewing and electronically accepting the seven onboarding legal documents: the Independent Contractor Services Agreement, Statement of Work, Confidentiality and Non-Disclosure Agreement, Intellectual Property Assignment, Privacy Notice, Information Security and Authorized Access Policy, and Jibble Time Tracking Transparency Notice.
- Each acceptance records the document version, your authenticated account identity, email, and timestamp, and is preserved in an append-only audit trail.
- No acceptance box is prechecked. If a material contractual document is updated, you may be required to review and accept the new version before activation or continued access.
- Administrator approval (classification review, SOW approval, compliance review, Jibble membership, and project access) remains mandatory before activation.
6.Acceptable use and prohibited conduct
- You will not access other users' applications, contractor records, administrator dashboards, or internal documents without authorization.
- You will not upload malware, attempt to bypass security, rate limits, or spam protections, or submit false or misleading information.
- Information security obligations (least-privilege access, unique credentials, no password sharing, no unauthorized data export) apply to all authenticated contractors and are detailed in the Information Security and Authorized Access Policy.
7.Intellectual property
- Engagement-specific work product created by a contractor for Davick is assigned to Davick to the extent permitted by applicable law, as set out in the Intellectual Property Assignment document accepted during onboarding.
- Pre-existing contractor intellectual property remains the contractor's. Davick claims no ownership over a contractor's unrelated work, general professional skills, or independently developed materials.
- The Platform name, branding, and software are owned by Davick Int'l Trade, LLC / ClientFlux AI and may not be copied or misused.
8.No warranty
The Platform is provided "as is" and "as available." To the fullest extent permitted by applicable law, Davick disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, that applications will result in work, or that the Platform is error-free.
9.Limitation of liability
To the extent permitted by applicable law and except where non-waivable statutory rights apply, Davick's aggregate liability arising from your use of the Platform is limited to the amounts you were actually paid by Davick through the Platform in the twelve months preceding the claim. Nothing limits liability for gross negligence, willful misconduct, or where prohibited by law.
10.Accounts and security
- Accounts use email and password authentication. You are responsible for keeping credentials secure and for all activity under your account.
- Multi-factor authentication is supported where available. We may suspend or revoke access for suspected security incidents or Terms violations.
11.Suspension and termination
We may suspend or terminate access for violation of these Terms or for security, legal, or operational reasons. Contractors may terminate their relationship as provided in the Independent Contractor Services Agreement. On termination, access credentials are revoked and company and client information must be returned or deleted.
12.Changes to these Terms
We may update these Terms. Material changes will be communicated with an updated effective date. Continued use after changes constitutes acceptance of the revised Terms.
13.Governing law and disputes
- These Terms are governed by the laws of the U.S. state of Davick Int'l Trade, LLC's formation, to the extent permitted, subject to mandatory Philippine law where a contractor is based in the Philippines and where non-waivable statutory rights apply.
- Electronic contracts and signatures are valid under the U.S. ESIGN Act (15 U.S.C. §7001) and the Philippine Electronic Commerce Act (Republic Act No. 8792).
- Confidentiality and trade-secret protections operate alongside the U.S. Defend Trade Secrets Act (18 U.S.C. §1836) and the Civil Code of the Philippines.
- Disputes are resolved through good-faith negotiation first, then binding arbitration or the courts of competent jurisdiction as applicable, subject to non-waivable mandatory law.
14.Severability and entire agreement
If any provision is held unenforceable, the remainder stays in effect. These Terms, together with the onboarding legal documents you accept, constitute the entire agreement regarding your use of the Platform. In a conflict between these Terms and a signed onboarding agreement, the signed agreement controls for that engagement.
15.Contact
Questions about these Terms may be directed to Davick Int'l Trade, LLC through the administrator contact listed in the Legal Notice. See also the Privacy Policy for data-related requests.
